Areas of Practice
Our clients come from diverse industries and engage in several areas of activity, including start-up enterprises to power producers and major contractors. We provide real solutions to clients across the West African region advising and assisting our clients from the time at which they decide on a commercial transaction through negotiation and structuring of the transactions and in implementation.
In our work advising clients in our corporate law practice, we also advise clients on financing options and structures. Our Corporate law practice includes advice on Directors duties, Shareholder rights, Corporate recovery & restructuring, regulatory compliance, and Private Equity deals.
We advise in all aspects of commercial transactions. We know and understand commercial agreements and transactions advising on simple transactions to the more complex structures such as joint-venture agreements and their connected understandings. Our practice objective is to let you manage your business and control your risks.
We have advised clients in joint-venture agreements; we understand that while contracts can be looked at in their own right, they often require us to look at them within the overall business objectives of our clients. , and our clients include port operations, commodity traders, logistics managers, mining services, manufacturing as well as engineering and power generation. The Commercial law practice includes advice on investment, procurement arrangements, employment and labour issues, immigration, asset leases and management, social impact and responsibility as well as commercial reputation protection.
Although progress has been made generally over the last two decades to address these, requirements for construction and infrastructure development continues to grow in West Africa. As more opportunities arise for more infrastructure development, our clients have found the increasing need for comprehensive legal advice and risk control in the projects that they undertake. Secure land rights however remain a challenge for many operators in the construction and infrastructure industry.
In addition to advising on construction and project implementation, licences, permits, regulatory compliance and tax issues, our Construction & Infrastructure practice acts to secure and
defend our clients’ interest in land. Our Construction and Infrastructure practice includes advising on public procurement and tender processes, land acquisition including leases, concessions and development rights; joint ventures, outsourcing and subcontracting; as well environmental regulatory compliance.
We understand that commercial entities and individuals prefer to avoid litigation as far as possible. Disputes and litigation are stressful to the parties, and take away human and financial resources which could be applied elsewhere. Some acts cannot only result in financial damage to our clients but also in reputation damage.
Whilst care is taken to avoid needless disputes and litigation, in some instances they are unavoidable. Armed with that understanding, our litigation and dispute resolution practice aims to achieve our clients’ objective as efficiently and as effectively as possible in the circumstance. We have represented clients in shareholder actions, directors’ disputes, shipping and admiralty actions, land disputes, as well as lender/borrower disputes and recovery actions.
Business relies on environmental certainty which can only be provided for by government action. Our Administration and International Institutions practice has lead us to advice on local legislative affairs as well as matters of regional stability and governance which has enabled us to better advise our clients in their activities in the region, whether they are profit or non-profit making entities.
